Meet the ‘no cap’ offer: Escalation clause to win a real estate bid

  • Matt Bauscher is one of Boise’s top real estate agents, and recently used a ‘no cap’ offer to win an in-demand home for his clients, at $125,000 over-ask.

“No one had ever heard of what we did here either,” Matt Bauscher told Business Insider.

Bauscher, a top Boise real estate broker with Amherst Madison, was talking about his recent success winning a home for his clients with a “no cap” offer. 

Bauscher has been in real estate since 2014, and leads one of the top real estate teams in Idaho, per Real Trends.

“It was the first time I’ve ever done it — I’ve done hundreds of escalation clauses, but most with a cap.” 

Bauscher’s “no cap” offer came about as a result of the feverish Idaho real estate market, where realtors are describing a market overwhelmed with bidding wars and sales often going for $100,000 over ask. It’s a real estate “feeding frenzy,” as Bauscher puts it, as city dwellers flock to the Gem State.

While typical escalation clauses make a contractual provision in a home buyer’s offer letter that seeks to outbid competition by a designated amount, the “no cap” offer means a buyer is essentially writing a blank check for a home — determined to successfully outbid any other offers on the table. 

“I often do an escalation clause on my offers when I’m representing a buyer,” Bauscher said. For example, “I will write in the contract, ‘Buyer agrees to beat any competing bona-fide offer by $5,000 over the highest competing offer. A copy of the competing offer must be provided for escalation clause to be valid.'”

Bauscher used the example of a house being listed at $1.5 million, for which you could do an escalation clause beating any offer by $10,000, up to a max of $1.7 million. The ‘no cap’ would mean you are going to beat any competing offer for just what it sounds like, he said — without a cap.

Bauscher said the “no cap” requires proof, too: The listing agent has to provide a lender approval letter or proof of funds of the competing offer, so they can’t falsify an offer. 

It’s simple, but it works, according to Bauscher, who used the “no cap” offer to win his clients — who were coming from an affluent area out of state — a Boise home at $125,000 over ask.

The Real House Of Detention (An Allegory)

On those two questions, I can honestly say "no cheating"! With that, I begin this article. Who would not love to consciously be more than they are and have the power to do more than they can right down to taking and giving life at will like or better than Darth Plagueis the Wise / Hego Damask the Sith Lord in "Star Wars"?

Indeed, and alas, we have to settle for self-mastery which is still below that kind of power like God creating dirt from scratch with only nature on his side unlike the scientist who needs all kinds of "stuff", machines and complicated processes to create dirt from "nothing". Yes, the real house of detention we all face is the very concepts of limitation, weakness and dependence: Like the politician in power depending on the support of the people to keep power, make laws and do "everything", that is a glaring point of what I essentially mean by genuine weakness, dependence and limitations or compromise.

So, here is the allegorical part of this article now: A politician has a near-death experience. That politician meets the maker they believe in. The maker or God / Deity / Source gives them a choice to go to heaven or hell. First the politician sees heaven, people sitting on clouds bored, strumming harp strings for eternity without having to eat, drink or do anything "interesting". It is "just heaven". Then the politician goes to hell and finds it "better than Earth" like the immoral party he never had with "great sex", wild party deal making, thrills and "wonderful, exciting immoral stuff" like drugs that make you high without the other consequences of them. Things an immoral person would like anyway. So, since he gets all the "party" in hell instead of boredom and eternal, peaceful life and harp strumming in heaven. That politician says and means "send me to hell for eternity, that is real paradise!" and even files papers in that near-death experience with the devil to go there. Then the politician really dies, and there is nothing there but emptiness. Not fire, not brimstone. Just emptiness and absolutely nothing. "God says, I cannot help you, you signed the papers and yourself over to the Devil. The Devil says," that whole compelling, thrilling scene was the campaign, and this nothingness is the real and genuine office you signed for. Read the contract! "Too late and that is how it works. Real Estate Investing – Don’t Just GET THE DEED – The Infamous "Kitchen Table Closing"

Here is a question from one of my Clients about purchasing a house using a kitchen table closing. My quick answer… Beware!

Q: Hi Lou, I have a property under contract that I want to resell/flip as-is to a rehabber/renovator, but I may have to purchase it quickly and simply record the Quit Claim Deed, without using a closing attorney or waiting for a title exam. I need your advice.

The seller just called me and left a message on my voice mail stating she did not want to sell to me because she received a better offer. Now I do have it under contract, with a signed purchase and sales agreement from her, and I had her sign a Quit Claim deed, too. I did that because she was fighting with her sister over ownership of this property, which was given to her by her mom who passed away 2 years ago. The deed is in her name alone, not the sister’s, mom’s or anyone else. I did see the deed and made a copy of it.

I thought I should get the Quit Claim Deed (QCD), just in case I needed to record it because of the family issues. The Seller agreed as well. She said she just wanted to get rid of this property. I also filed at the courthouse an Affidavit for the property showing I had it under contract, as you recommend. I’m in the process of getting a title check done by my title company.

Now what do you recommend I do? Should I go back to the courthouse and record the QCD or wait until the title search is complete to record the deed; or should I walk away, or should I choose to wait and schedule an attorney to do the closing?

A: Hi G., what you’re describing is a little risky, yet it’s done fairly often as is commonly referred to as a “kitchen table closing” since they are literally often closed right in the Seller’s kitchen. It’s a VERY good idea to get title exam run first, before doing a “kitchen table closing” especially if you are giving any money to the Seller.

Normally I wouldn’t recommend you do your own closing, but since you’re rushing your purchase so you can “preserve” your deal before the other Buyer moves in and buys it, and/or before the sister does anything rash… just be sure that the transaction has been up front, and that you truly intend to move forward as you agreed. I think that I would go ahead and file/record the QCD. I don’t see that you have anything to lose, and a lot to gain.

I would then inform the seller that she can not sell to anyone else because she already has a binding agreement to sell to you, and that you already “technically” own the house (since you recorded the QCD). Let her know that your plan is to review title, and as long …
